Terms of sale — Omnifloo Office

1. Purpose and scope

These terms of sale apply to the subscription to and use of the paid plans of Omnifloo Office, an online office service published by DYONYSOS SASU. They supplement the terms and licence of use, which apply to all accounts, free or paid. In the event of conflict, these terms of sale prevail as regards paid plans.

The free education plan is not subject to these terms of sale, unless its holder chooses to switch to a paid plan.

2. Provider

DYONYSOS SASU, a French single-shareholder simplified joint-stock company with its registered office in Mouguerre (France), share capital of [à compléter], registered with the RCS of [à compléter]; identifiers and full address: see the legal notice. Contact: contact@omnifloo.com.

3. Plans and prices

The plans in force on the date of this version are:

  • Business: €19 excl. VAT / month — small businesses and freelancers, per [à compléter : compte utilisateur ou organisation]; all applications, extended storage, email support, monthly or annual billing.
  • Institutions & enterprise (Schools, public bodies, companies): On quotation; the accepted quote (dedicated hosting, integration, support, training) prevails over these terms of sale for what it covers.
  • Education: €0, governed by the terms of use.

Prices are stated in euros excluding tax; VAT is added at the rate in force on the invoice date. Current prices are shown on the Pricing page. Any price increase is notified by email at least 30 days before it applies; the customer may cancel free of charge before it takes effect.

When a free trial is offered, its duration is stated at sign-up. At its end, no subscription starts without the customer's express consent; without a subscription, the account becomes read-only and documents remain retrievable for 30 days.

4. Subscription

Subscription is made online from the customer's account or, for plans on quotation, by written acceptance of the quote. It requires acceptance of these terms of sale (checkbox) and becomes final upon the first payment, confirmed by email with the corresponding invoice.

Paid plans are intended for professionals (companies, freelancers, associations, institutions). The customer declares that they subscribe for the needs of their business; a consumer additionally benefits from the protective provisions of articles 7 and 14.

5. Term, renewal and cancellation

The monthly subscription is concluded for one month and renewed automatically from month to month; it may be cancelled at any time from the account or by email, effective at the end of the current month. The annual subscription is concluded for twelve months and renewed automatically for the same term; it may be cancelled up to the last day of the current term, effective at its end. The customer is notified by email at least 30 days before each annual renewal.

Any period started is due and is not refunded, unless DYONYSOS SASU fails to meet its obligations. DYONYSOS SASU may terminate the subscription in the event of a serious breach by the customer of the terms of use or these terms of sale, after a formal notice that remains without effect for 15 days.

6. Invoicing and payment

Subscriptions are payable in advance, on subscription and then on each due date, by bank card or SEPA direct debit through the payment provider [à compléter : prestataire de paiement]. DYONYSOS SASU does not store any bank card data. Plans on quotation are payable by bank transfer within 30 days of the invoice date, unless the quote states otherwise. Invoices are issued electronically and are available in the customer's account.

In the event of late payment by a business customer, penalties equal to three times the French statutory interest rate are automatically payable, together with a fixed recovery fee of €40 (articles L441-10 and D441-5 of the French Commercial Code). After a reminder that remains without effect for 15 days, access to editing features may be suspended; documents remain viewable and downloadable.

7. Right of withdrawal (consumers)

A consumer customer has 14 days from subscription to withdraw, without giving a reason, by email to contact@omnifloo.com. If they expressly requested that the service start before the end of this period, they remain liable for the amount corresponding to the service provided until withdrawal (article L221-25 of the French Consumer Code). The refund is made within 14 days, using the payment method used.

8. Service provided

The subscription gives access to the Text, Spreadsheet, Presentation and PDF applications, co-editing, the plan's storage space and email support (replies on working days, where possible within two working days). The service is available continuously, except during maintenance, incidents or force majeure; planned work is announced in advance where possible. Unless a service level is committed to in a quote, DYONYSOS SASU is bound by a best-efforts obligation.

The writing assistant works with the artificial intelligence provider and key chosen by the customer, who contracts directly with that provider: its cost and terms fall outside these terms of sale.

9. Personal data

The data processing carried out by DYONYSOS SASU as controller (account, invoicing, support) is described in the privacy policy. For personal data that the customer places in their documents, DYONYSOS SASU acts as processor within the meaning of article 28 of the GDPR: it processes such data only to provide the service, on the customer's instructions, hosts it in France and discloses it to no third party. A data processing agreement is provided on request [à compléter : annexe DPA].

10. End of contract and data retrieval

When the subscription ends, for whatever reason, the account becomes read-only for 30 days: the customer can download all their documents in their original formats. After this period, the documents and account data are deleted; encrypted backup copies are erased as they rotate, no later than six months afterwards. Invoices are kept for the legally required period.

11. Liability

The liability of DYONYSOS SASU is limited to direct and foreseeable damage and, for all causes combined, to the amount paid by the customer for the service during the twelve months preceding the triggering event. These limits do not apply in the event of gross negligence or wilful misconduct, to personal injury, or to a consumer where the law prohibits them.

12. Force majeure

Neither party is liable for a failure caused by a force majeure event within the meaning of article 1218 of the French Civil Code. If the impediment lasts more than 30 days, either party may terminate the subscription by email, without compensation; sums paid for the unperformed period are refunded.

13. Changes to these terms of sale

DYONYSOS SASU may amend these terms of sale. Changes are notified by email at least 30 days before they take effect; a customer who refuses them may cancel free of charge before that date. The applicable version is the one in force at the start of each subscription period.

14. Governing law and disputes

These terms of sale are governed by French law. Before taking any action, the parties seek an amicable solution; the customer may write to contact@omnifloo.com. A consumer customer may use the consumer mediator free of charge [à compléter : nom et site du médiateur]. Failing agreement, disputes between professionals fall within the jurisdiction of the courts of Bayonne; a consumer may bring proceedings before the court of their place of residence.
